1. Ownership of the Site and acceptance of these Terms
These Terms of Use apply to the Orso website, any official Orso landing page, any authenticated dashboard, any mobile application distributed by or on behalf of Orso Inc., any in-app feature, and any content, software, functionality, messaging, support flow, export, summary, interface element, or documentation made available through those properties. The services are owned, operated, licensed, or controlled by Orso Inc. and its licensors. By accessing or using any part of the service, you agree to these Terms. If you do not agree, do not access or use the service.
Orso may revise these Terms from time to time. Updated versions become effective when posted, unless a later effective date is stated. Your continued use after an update means you accept the revised Terms to the extent permitted by applicable law. Orso may require renewed acceptance for material changes, paid features, regulated markets, age-gated flows, or high-risk features.
2. Service scope, purpose, and important context
Orso is a digital wellbeing and life-companion product designed to help users organize reflections, routines, supportive prompts, self-observation, and personal information flows. It is not sold or marketed as a hospital system, clinical monitoring platform, emergency dispatch service, medical device, crisis center, or professional treatment substitute. Any examples, educational content, onboarding screens, summaries, or suggestions are provided for general informational and product experience purposes only.
No content or output made available through Orso should be treated as a diagnosis, prognosis, prescription, clinical instruction, emergency direction, or guaranteed outcome. You remain responsible for your decisions, your environment, and seeking qualified help when needed. If you believe you may be in danger or require urgent medical or mental health assistance, do not rely on Orso.
3. Eligibility, age, legal capacity, and truthful information
You represent that you have the legal capacity to enter into these Terms. If you are below the age of majority where you live, you may use Orso only with the authorization and supervision required by applicable law. You may not use Orso where doing so would violate export rules, sanctions laws, local platform rules, professional regulations, school restrictions, workplace policies, or any other applicable law.
You agree to provide accurate, current, and complete information where the service requests it, and to keep that information reasonably up to date. You may not impersonate another person, misstate your affiliation, create deceptive identities, or use the service in a misleading or unlawful manner.
4. Accounts, credentials, security, and device responsibility
Some features may require an account, authentication credential, passcode, device permission, subscription record, or platform identity. You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account or device to the extent caused by your acts, omissions, negligence, or failure to secure access.
You must notify Orso promptly if you become aware of unauthorized access, credential compromise, suspicious activity, or a security incident affecting your account. Orso may suspend access, require credential rotation, invalidate sessions, or impose additional verification where reasonably necessary for security, fraud prevention, legal compliance, or protection of users and the service.
5. Limited license and permitted use
Subject to your compliance with these Terms, Orso grants you a personal, revocable, limited, non-exclusive, non-transferable, non-sublicensable license to access and use the service for its intended purposes. This license does not transfer any ownership right in the service, content, software, branding, interfaces, outputs, documentation, models, or underlying technology.
Except where mandatory law prohibits such a restriction, you may not copy, sell, lease, sublicense, white-label, host for third parties, commercialize, frame, mirror, republish, publicly display, mass-export, exploit, or distribute any material from the service except as expressly authorized by Orso in writing or by a clearly stated product feature. Any rights not expressly granted are reserved.
6. Content ownership, brand rights, and platform integrity
All software, code, interfaces, visual design, layout, text, graphics, icons, audio, video, prompts, compilations, documentation, trademarks, trade dress, logos, product names, feature names, and overall look and feel of Orso are owned by Orso Inc. or its licensors and are protected by intellectual property and unfair competition laws.
You may not remove proprietary notices, obscure attribution, reproduce distinctive visual elements in a confusingly similar way, register domains, usernames, or marks that are likely to cause confusion with Orso, or claim affiliation, sponsorship, endorsement, certification, or partnership without prior written permission. Orso may investigate and enforce its rights, including by issuing takedown demands, platform notices, legal claims, injunctive requests, or account restrictions.
7. Restrictions on scraping, automation, cloning, and AI training
You may not use any robot, spider, crawler, scraper, parser, automated browser, headless system, script, model, agent, or similar process to access, query, monitor, copy, extract, harvest, index, benchmark, analyze, reproduce, or map any part of the service except through features intentionally provided by Orso for that purpose.
You may not use the service or any part of it to build, fine-tune, evaluate, seed, ground, or train any machine learning model, language model, recommendation engine, dataset, prompt library, synthetic corpus, or competing product, and you may not reverse engineer usage patterns, ranking logic, moderation logic, safety logic, or model behavior except to the limited extent that applicable law expressly forbids such a restriction. You may not circumvent rate limits, authentication, entitlement checks, paywalls, visibility controls, or export limits.
8. Prohibited conduct
You agree not to use the service to break the law, infringe the rights of others, exploit vulnerable persons, disseminate malware, engage in fraud, harass others, upload illegal content, test security without authorization, interfere with service operations, burden infrastructure disproportionately, bypass safety systems, abuse support channels, or conduct any activity that could expose Orso, its users, or third parties to legal, technical, operational, or reputational harm.
Orso may determine, acting reasonably and in good faith, whether conduct is abusive, risky, deceptive, non-compliant, or incompatible with the service. Orso may remove content, deny access, throttle usage, block features, preserve logs, or cooperate with lawful requests where reasonably necessary.
9. User content, submissions, exports, and reliance
You retain ownership of content you lawfully submit to Orso, subject to the rights you grant below. To operate the service, you grant Orso a non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, format, transmit, back up, analyze, display, and otherwise use submitted content solely as reasonably necessary to provide, secure, improve, maintain, enforce, and comply with law in relation to the service.
You are solely responsible for the legality, accuracy, rights clearance, and consequences of content you submit. Orso may offer exports, summaries, classifications, labels, wellness notes, reminders, or structured outputs. Those outputs can be incomplete, approximate, or context-sensitive. You are responsible for reviewing them before relying on them, sharing them, or using them in legal, medical, educational, workplace, or evidentiary contexts.
10. Feedback and unsolicited ideas
If you send ideas, comments, requests, suggestions, mockups, product concepts, fixes, annotations, or other feedback to Orso, you agree that Orso may use that material without restriction or compensation, unless mandatory law requires otherwise. This includes the right to evaluate, adapt, implement, publish, modify, commercialize, or disregard the material.
Please do not send confidential or proprietary concepts that you expect Orso to treat as confidential unless Orso has expressly agreed to do so in writing. Unsolicited submissions do not create any fiduciary duty, joint venture, partnership, or compensation obligation.
11. Purchases, subscriptions, billing, renewals, and refunds
Paid plans, trials, premium entitlements, or subscription features may be offered through Orso directly or through third-party billing channels such as Apple or other platform providers. Prices, billing intervals, feature bundles, geographic availability, taxes, renewal mechanics, trial eligibility, and cancellation methods may vary by region, storefront, currency, platform, and promotional flow.
Unless a different rule is expressly stated at checkout or required by law, subscriptions renew automatically until canceled. You are responsible for reviewing the pricing, trial language, renewal terms, and cancellation path presented at the point of purchase. Platform purchases are generally administered by the relevant platform and may be subject to that platform’s refund and account rules. Orso may suspend or limit premium access for failed payments, chargebacks, fraud signals, misuse, abuse of refund systems, or entitlement mismatches.
12. Third-party platforms, links, dependencies, and App Store distribution
The service may rely on third-party operating systems, app stores, hosting providers, analytics vendors, payment processors, content delivery networks, APIs, authentication systems, communication tools, accessibility services, and external websites. Orso does not control those third parties and is not responsible for their independent acts, omissions, outages, security events, or policy choices.
Links to third-party sites or services are provided for convenience and do not imply endorsement. Your use of third-party services is governed by the terms and policies of those third parties. If Orso is distributed through the Apple App Store or a similar marketplace, additional platform rules may apply to your use, purchase, update, cancellation, and support rights. Those platform rules supplement these Terms and control only to the extent of a direct conflict.
13. Privacy, security, local storage, and technical limitations
Orso is developed with the objective of minimizing data collection and, wherever reasonably possible, avoiding access to users’ private wellbeing content. Depending on the architecture of a given feature, private wellbeing content may remain under user control, including within device-local or platform-managed environments, rather than being broadly accessible to Orso.
Even so, across the broader user experience, including the app, website, support channels, platform services, billing flows, purchase environments, and other web or non-web interactions, Orso or third-party service providers may in some circumstances process limited information relating to a user, including information that may be personal or sensitive. Such processing may be reasonably necessary for service operation, support, security, fraud prevention, compliance, payment administration, entitlement management, platform delivery, or legal obligations.
You acknowledge that no service can guarantee complete privacy, uninterrupted availability, or total freedom from technical limitations. Device settings, platform architecture, account choices, backups, third-party providers, operating system behavior, network conditions, app store systems, and user actions can all affect how information is stored, transmitted, processed, or exposed. Additional details regarding data practices appear in the Privacy Policy.
14. Medical, safety, emergency, and professional disclaimer
Orso does not provide medical advice, psychiatric care, crisis intervention, legal advice, financial advice, or any licensed professional service unless a feature is expressly identified as such and lawfully provided under separate written terms. Any wellness content, AI-generated text, educational material, reflective prompts, or supportive language is general information and not individualized professional advice.
Do not use Orso for emergency communications, suicide intervention, self-harm escalation management, medical triage, violence prevention dispatch, child protection reporting, or any decision where delayed, incomplete, inaccurate, or misunderstood output could foreseeably cause death, bodily injury, or major harm. In those situations, contact emergency services, a licensed professional, a qualified adult, or an appropriate local resource without delay.
15. Disclaimers of warranties
To the fullest extent permitted by law, the service is provided on an “as is” and “as available” basis. Orso disclaims all warranties and representations, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, compatibility, security, and error-free operation.
Orso does not guarantee that the service will meet your expectations, achieve any intended result, remain available at any given time, be compatible with any particular device or future operating system, or be free from bugs, delays, interruptions, loss, corruption, harmful code, or third-party misconduct. Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.
16. Limitation of liability
To the fullest extent permitted by law, Orso Inc., its officers, directors, shareholders, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business, contracts, goodwill, reputation, data, content, opportunities, expected savings, or use, arising out of or relating to the service, even if advised of the possibility of such damages.
To the fullest extent permitted by law, if Orso is found liable to you for any claim arising out of or relating to the service or these Terms, Orso’s aggregate liability will not exceed the greater of (a) the total amount you paid directly to Orso for the relevant paid service in the six months before the event giving rise to the claim, or (b) US$100. This limitation does not exclude liability that cannot lawfully be excluded, including where applicable liability for fraud, willful misconduct, gross negligence, death, personal injury, or violation of non-waivable statutory rights.
17. Indemnity
You agree, to the fullest extent permitted by law, to defend, indemnify, and hold harmless Orso Inc. and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any third-party claims, actions, proceedings, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your content, your misuse of the service, your violation of these Terms, your violation of law, or your infringement of any third-party rights.
Where applicable law restricts indemnity obligations in consumer contracts, this section will be enforced only to the extent permitted by that law.
18. Suspension, restriction, investigation, and termination
Orso may, with or without notice where legally permitted and operationally appropriate, suspend, restrict, disable, investigate, remove, or terminate access to all or part of the service if Orso reasonably believes that doing so is necessary for security, fraud prevention, legal compliance, abuse prevention, platform integrity, user safety, billing enforcement, rights protection, technical maintenance, or business continuity.
You may stop using the service at any time. Termination or suspension does not affect rights and obligations that by their nature should survive, including payment obligations already incurred, ownership provisions, disclaimers, limitation of liability, indemnity, dispute rules, enforcement rights, and evidentiary preservation rights.
19. Legal compliance, investigations, and disclosure
Orso may preserve, review, and disclose information where Orso reasonably believes it is necessary to comply with law, respond to lawful process, enforce these Terms, investigate misuse, protect users, detect fraud, secure the service, defend legal claims, or prevent harm. Nothing in these Terms requires Orso to monitor all activity generally, but Orso reserves the right to investigate specific conduct and preserve relevant records.
Where permitted by law and operationally appropriate, Orso may notify you of requests affecting your information. Orso may also cooperate with app stores, hosting providers, payment partners, law enforcement, regulators, rights holders, and courts in relation to legitimate enforcement, fraud prevention, or legal process.
20. Governing law, venue, and dispute process
These Terms and any dispute arising out of or relating to them or the service are governed by the laws of the State of California and applicable United States law, without regard to conflict of laws principles, except to the extent mandatory consumer law in your place of residence requires otherwise. Subject to the next sentence, the state and federal courts located in Sacramento County, California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service.
If you are a consumer residing in a jurisdiction that gives you the right to bring claims in your local courts or under your local mandatory consumer law, nothing in these Terms takes away those rights. Before filing a claim, both parties agree to attempt in good faith to resolve the dispute informally for at least thirty days after written notice, unless emergency injunctive relief is needed. To the fullest extent permitted by law, any claim must be brought within one year after it arises.
21. Export controls, sanctions, and territorial availability
You may not use, access, export, re-export, or transfer the service or related technology in violation of any export control, sanctions, embargo, or trade law. You represent that you are not located in a prohibited jurisdiction and are not a prohibited or restricted party under applicable law.
Orso may limit the availability of features, content, plans, products, or services by geography, language, device, age group, platform, or regulatory environment. References to features or services do not guarantee current or future availability in your country or on your device.
22. Beta features, roadmap statements, and future changes
Orso may offer preview, experimental, alpha, beta, limited-release, or test features. Those features may be incomplete, unstable, modified, delayed, or discontinued at any time and may be subject to additional notices or separate terms. You use them at your own risk to the fullest extent permitted by law.
Any references to roadmap items, planned capabilities, future integrations, timing, or product direction are informational only and do not create any promise, commitment, or obligation to deliver any specific feature, compatibility outcome, timeline, or commercial arrangement.
23. Severability, no waiver, assignment, and entire agreement
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Orso’s failure to enforce any provision is not a waiver. You may not assign or transfer these Terms or any rights under them without Orso’s prior written consent. Orso may assign these Terms in connection with a merger, financing, reorganization, asset sale, stock sale, or transfer of the service or relevant business.
These Terms, together with any applicable supplemental terms, purchase terms, platform rules that expressly apply, and the Privacy Policy, form the entire agreement between you and Orso regarding the service and supersede prior or contemporaneous understandings relating to the same subject matter.

Legal notices to Orso regarding these Terms should be sent to contact@orso-assistant.com. Unless a different process is required by law, Orso may provide notices to you through the service, by email, through account messaging, or by posting updates on the website. Electronic notices satisfy any legal requirement that communications be in writing, to the extent permitted by law.
